Captioned: Indiana's Botched Notary Law Update.\" class=\"wp-image-974\" srcset=\"https:\/\/www.deeds.com\/articles\/wp-content\/uploads\/2020\/08\/indiana-law.jpg 795w, https:\/\/www.deeds.com\/articles\/wp-content\/uploads\/2020\/08\/indiana-law-300x129.jpg 300w, https:\/\/www.deeds.com\/articles\/wp-content\/uploads\/2020\/08\/indiana-law-768x329.jpg 768w\" sizes=\"auto, (max-width: 795px) 100vw, 795px\" \/><\/figure>\n\n\n\n<p>What happened July 1, 2020, when the&nbsp;<a rel=\"noreferrer noopener\" href=\"http:\/\/iga.in.gov\/legislative\/2020\/bills\/senate\/340#document-170fc6bf\" target=\"_blank\">Indiana Senate<\/a>&nbsp;tweaked&nbsp;<a href=\"http:\/\/iga.in.gov\/legislative\/laws\/2020\/ic\/titles\/032#32-21-2-3\" target=\"_blank\" rel=\"noreferrer noopener\" aria-label=\" (opens in a new tab)\">Indiana Code \u00a7 32-21-2-3<\/a>? <\/p>\n\n\n\n<p>Previously, that provision of Indiana law said any conveyance, mortgage or other document to be recorded must simply have the signer <a href=\"https:\/\/www.nationalnotary.org\/notary-bulletin\/blog\/2016\/10\/how-to-complete-an-acknowledgment\" target=\"_blank\" rel=\"noreferrer noopener\" aria-label=\" (opens in a new tab)\">acknowledge the document<\/a> with a notary. <em>Or<\/em> the document could be proved with a notary and an additional witness. The key term is <em>or<\/em> \u2014 you needed either one <em>or <\/em>the other. Now, that section of the code has the word <em>and<\/em> instead of <em>or.<\/em> <\/p>\n\n\n\n<p>Little words, big problems.<\/p>\n\n\n\n<p>It was \u201can unintentional drafting error,\u201d wrote Bill Anderson, Government Affairs VP for the National Notary Association, \u201c<a href=\"https:\/\/www.nationalnotary.org\/notary-bulletin\/blog\/2020\/06\/indiana-law-error-notarizing-real-property-docs\" target=\"_blank\" rel=\"noreferrer noopener\" aria-label=\" (opens in a new tab)\">with potential consequences for notaries in every U.S. jurisdiction<\/a>.\u201d <\/p>\n\n\n\n<p>So, two different notarizations \u2014 an acknowledgement<em> and<\/em> a proof with a witness \u2014 must accompany any paper or electronic instrument submitted for recording. You can see <a href=\"https:\/\/www.indianalandtitle.org\/Files\/Underwriter%20Section\/ILTA%20FAQs%20re%20Acknowledment%20%20Proof%206.25.20.pdf\" target=\"_blank\" rel=\"noreferrer noopener\" aria-label=\" (opens in a new tab)\">samples of both notarial formats<\/a> here.<\/p>\n\n\n\n<p>As Indiana senators will henceforth never forget, the\ntiniest word change in a law\u2019s language matters. The statute is slated to be amended\nand corrected when Indiana\u2019s General Assembly reconvenes in 2021. <\/p>\n\n\n\n<p>Meanwhile\u2026<\/p>\n\n\n\n<!--more-->\n\n\n\n<h2 class=\"wp-block-heading\">What Do These Two Notarizations Involve? <\/h2>\n\n\n\n<p>Indiana notaries must now perform two notarizations on\ndocuments to be submitted to any Indiana county recorder:<\/p>\n\n\n\n<ol class=\"wp-block-list\"><li><strong>An acknowledgment with the signer.<\/strong> This\nis always done on real estate documents before recording. It\u2019s\nthe assurance that the signer was of sound mind, that the instrument was freely\nand voluntarily executed, and that the signature is authentic.<\/li><\/ol>\n\n\n\n<ul class=\"wp-block-list\"><li><strong>A&nbsp;proof.<\/strong> This is the extra step the\nchange in the law is requiring. It means having a witness at the notarization, 18\nor older, who is not anyone involved in the transaction, or a relative, agent,\nor lender to any of those people. The notary must identify the witness by\npersonal knowledge, a credible witness, or acceptable identification. This\nwitness may be called the \u201csubscribing witness\u201d; subscribing means signing the\ndocument. The proof produces a <em>notarial certificate<\/em> affirming that the\nwitness, under oath, affirmed the signer to be the person named on the\ndocument, was present and watched the instrument being signed, and also signed,\nas witness.<\/li><\/ul>\n\n\n\n<p>Proofs of execution are outdated in Indiana. Before the\ndigital era, they were useful for a person who needed to sign a document for a\ntransaction, but couldn\u2019t get to a notary. In those years, a disinterested\nwitness would observe the signing and take the document to the notary\u2019s office.\nThere, a certificate would be attached, as proof of execution, to the loan or mortgage\nand any other documents to be recorded.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Who\u2019s Directly Affected?<\/h2>\n\n\n\n<p>And it\u2019s not just Indiana notaries. All notaries need to\nknow about the issue, because sometimes a signer is outside the state when\nfinalizing an Indiana home sale or a refinanced mortgage loan. <\/p>\n\n\n\n<p>So, this tiny word change will be a thorn in the side of\nanyone working with instruments to be notarized for recording in any Indiana\ncounty. Here are a few salient examples:<\/p>\n\n\n\n<p><strong>Construction firms.<\/strong> Because Indiana lien instruments now\nmust be notarized in two different ways, any Indiana construction company that\nwants to <a href=\"https:\/\/www.deeds.com\/articles\/lien-in-a-primer-on-mechanics-liens\/\">record\na mechanic\u2019s lien<\/a> must handle its lien and notice procedures\naccording to the new provision.<\/p>\n\n\n\n<p><strong>Title insurers.<\/strong> Indiana\u2019s loan signing agents, licensed\nto issue title insurance, will be adhering to their insurance companies\u2019\nguidance on meeting current requirements for two notarizations.<\/p>\n\n\n\n<p><strong>Underwriters.<\/strong> If a deed or mortgage instrument\nrecorded after July 1, 2020 without the witness and proof, an underwriter might\nnot be able to insure it. Any instrument in the chain of title may have\nproblems standing up to the next underwriter\u2019s Mutual Indemnity Agreement (MIA),\nwhich allow clean titles to be issued for sales.<\/p>\n\n\n\n<p><strong>Consumer loan providers.<\/strong> Documents for consumer loans\nwill be similarly impacted. <\/p>\n\n\n\n<p><strong>Out-of-state loan signing agents.<\/strong> Rules governing proofs\nvary by state. Depending on the state, it\u2019s possible that:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>An attorney must be the witness.<\/li><li>Two witnesses could be necessary.<\/li><li>Notaries might need have to apply&nbsp;<a href=\"https:\/\/www.nationalnotary.org\/notary-bulletin\/blog\/2015\/10\/notary-challenge-how-handle-credible-witness\" target=\"_blank\" rel=\"noreferrer noopener\" aria-label=\" (opens in a new tab)\">credible witness<\/a> criteria.<\/li><\/ul>\n\n\n\n<p>Before asking whether any of these things are required,\nthough, out-of-state notaries acting as signing agents for Indiana documents\nmust find out if they are allowed to perform a proof at all.<\/p>\n\n\n\n<p><strong>RON notarial officers.<\/strong> Remote online notarization (RON) eClosings can still be done. The witness must give their physical location to the RON notarial officer, observe the execution of the recordable instrument electronically, and also sign the document electronically. The RON notarial officer will then attach the notarial certificate to the witnessed instrument. Refer to <a href=\"https:\/\/law.justia.com\/codes\/indiana\/2019\/title-33\/article-42\/chapter-17\/section-33-42-17-7\/\" target=\"_blank\" rel=\"noreferrer noopener\" aria-label=\" (opens in a new tab)\">Indiana\u2019s electronic notarial certificate provisions here<\/a>.<\/p>\n\n\n\n<p><br>\nCan\nDocuments Be Invalidated if They Don\u2019t Comply?<br>\n<br>\nAt the time of this writing, it\u2019s unclear whether instruments signed and\nnotarized without proofs from July 1, 2020 on will be acceptable to Indiana\nrecorders. And if a deed\nis acknowledged before a notary and recorded without the proof, can it be held\nnull and void for failing to comply with the current version of Indiana\nCode \u00a7 32-21-2-3? We\ndon\u2019t know. This is an untested question of law<strong>. <\/strong><\/p>\n\n\n\n<p>It would be bizarre if county recorders stopped accepting liens,\ndeeds and mortgages on the grounds that a document has no notarized signature\nfrom a&nbsp;witness.
