One of the fundamental principles of contract law is the right to assign contract rights to a third party. This is a corollary to the principle of "delegation," which involves assigning the duties under a contract to a third party. For example, Jack contracts with Jill to build Jill a house. Jack then assigns the right to payment for the house to Fred (maybe he owes Fred some money on a debt). This is called an "assignment." Contrast that with if Jack were to enlist Fred to build the house for Jill to fulfill Jack and Jill's contract, this would be a "delegation" (although possibly not a legal one if Jill entered the agreement specifically to seek Jack's special services). With the basic legal terminology clarified, let's move on to how lien assignments work in Minnesota.
Lien assignments work like any other assignments of rights under other types of contracts. Therefore, they are governed under Minnesota's version of the Uniform Commercial Code which is codified under Chapter 336 of the Minnesota Statutes.
Under the Commercial Code's rule on assignments, all rights of either seller or buyer can be assigned except where the assignment would materially change the duty of the other party, or increase materially the burden or risk imposed on the other party by the contract, or impair materially the other party's chance of obtaining return performance. M.S. 336.2-210(2). In general, as long as there is no increased burden or risk, or the duties required by the party subject to the lien somehow change, an assignment is permissible.

Extremely helpful team of professionals who are patient when you need to get things filed correctly. Very small price for the comfort of knowing your DOCUMENTS are FILED with you local Recorder's Office. Some of the filings, if they are correctly formatted are already uploaded and official within a few hours. Here's the ALTERNATIVE you may encounter. For Example: King County Recorder's Office moved which means most filings are backed up 7-10 days if you DROP your filing in a BOX with your CHECK or MAIL IT. Neither is a great option, since they have no WALK IN HOURS.

I am a lawyer and purchased a specialized type of deed for a special scenario. The product received was functional, but not great. Wording is slightly clunky and the form layout was not convenient for making a professional final product. The wording also didn't contemplate a remote-state probate, which is a common scenario. Something about the PDF prevented me from doing cut and paste, so I had to do OCR to get the relevant text for inserting in my existing draft deed. Finally, while the site claims it is customized for the exact state and county, it does not appear to be well-customized for that purpose and I had to use other language (not sourced from the deeds.com document) to meet local norms.

Communication is hard. The reps need to be empowered and encouraged to call the customers when necessary. They encourage 300 dpi resolution and under 2 MB PDF file, which is not even possible with our scanner. They made a vague comment about a legal description looking abbreviated but did not explain. They refused to call me. They said the county said "Image is light please darken", but the image looked fine to me. Maybe not their fault, but they refused to help work with the county on that for me. I followed their suggestion though and re-scanned at 300 dpi, but they misunderstood me and did not re-submit it right away. Over 48 hours later, it's still not recorded yet. I hope it will be today.
