Questions answered? Let's get started!

When an Ohio corporation gives real property away, one officer signs for it and the notary certifies that the officer acknowledged the deed on behalf of the corporation. This Ohio Gift Deed (Corporation Grantor) is drafted for exactly that act, with one corporate grantor, one signing officer, one or two grantees, no consideration, and no covenants, under Revised Code Chapters 5301 and 5302.

One officer signs for the corporation

The grantor section fixes the configuration as deed text: the grantor is the corporation named in the deed, organized under the laws of the state or place named, acting by and through the officer named, who has been authorized to execute and deliver the deed on the corporation's behalf. The blanks hold only facts: the corporate name, the state of incorporation, the officer's name and title, and the corporation's mailing address; the printed-name line under the signature repeats the officer's name and title. Section 1701.13(B) states that failure to affix a corporate seal does not affect the validity of an instrument, so the deed prints no seal line.

The certificate Ohio prints for a corporation

Section 147.55 prints a separate short form of acknowledgment for each capacity in which a person may sign, and division (B) is the corporation form. This deed carries it verbatim: acknowledged before me by the named officer and title, of the named corporation, a corporation of the stated state of incorporation, on behalf of the corporation. One certificate follows, because one person signs, completed by the notary public or other officer named in Section 5301.01 for the place where the officer appears.

Where dower drops out

Dower attaches to real property a married person owned during the marriage; a corporation has no spouse, so this deed recites no marital status and prints no dower release. What it does carry is the gift recital in its operative section: as a gift and for no consideration, the corporation grants the described property, no money or other consideration has been paid or is to be paid, and the deed is made without covenants of any kind on the part of the grantor. Grant is the word of conveyance under Section 5302.03, and the no-covenant posture matches the Section 5302.11 statutory quitclaim form.

A corporate gift at the auditor's counter

Every Ohio deed of absolute conveyance reaches the county auditor before the recorder, and a corporate gift has its own place in the Section 319.54(G)(3) exemptions. Division (r) exempts a transfer without consideration to an organization exempt under Section 501(c)(3) of the Internal Revenue Code, in furtherance of its charitable or public purposes, claimed on form DTE 100EX. Division (h) exempts a transfer by a subsidiary to its parent for no consideration. The family gift exemption does not reach a corporation, and a corporate gift to an individual outside the list pays the conveyance fee on the property's open-market value, plus any county transfer tax, with the grantor paying under Section 319.202(D).

Corporate authority behind the signature

The deed describes the officer as authorized; the authority itself comes from the corporation's articles, its regulations, and the action of its directors. Section 1701.13 empowers a corporation to transfer and dispose of property within its stated purposes and, unless the articles provide otherwise, to make donations for charitable, scientific, educational, or public purposes. Where the gift is all or substantially all of the corporation's assets outside its usual course of business, Section 1701.76 adds shareholder authorization; the guide describes the board resolution that commonly travels with a corporate deed.

Built to Ohio's recording standard

The deed carries the grantee's tax-mailing address and the prior instrument reference Section 319.20 requires for transfer, the Section 5301.25(B) survey statement, and the Section 317.111 preparer line, laid out to the Section 317.114 margins in twelve-point type. A closely held corporation donating a parcel to a conservancy, a subsidiary passing land to its parent, and a family corporation conveying a house to its owners' relative present the patterns this deed recites. The form is not set up as a conveyance by a natural person, a limited liability company, a partnership, a trustee, or an attorney in fact, or by two corporations together.

The package includes the fillable deed, a completed example of a Hamilton County gift from an Ohio corporation to a nonprofit conservancy, and the guide covering each section, the corporate authority, the conveyance-fee exemptions, and recording. This description and the form state what Ohio law provides in general terms and are not legal advice.

The Beneficiary Deed is easy to fill out, expecially with the examples/explanations provided. The only recommendation I would make is to state that the Parcel ID and the Assessor's ID are one in the same. I looked everywhere for something that mentions "Assessor's ID" in my paperwork to no avail. Upon calling the Maricopa Assessor's number in Maricopa I was told that they are the same.

Your data doesn't go deep enough in time to be useful to me. I needed deeds from 1911 to 1966.

I am researching forms required to change deed from joint owners to individual. Subsequently, forms required when/after a trust is established for real property.

The process was not difficult but I don't think that it suited my needs. There were several fields that were not applicable to me but I had to enter something to proceed. I also filled out the other form and mailed it in with some documentation that the electronic service did not ask for. Questions of my attempt are still unanswered. I hope I didn't waste time with this process. We shall see. Thank you.
