Hawaii's acknowledgment statute prints a certificate written for a corporation, and it asks the signing officer for sworn word that the instrument was signed on behalf of the corporation by authority of its board of directors. This Hawaii Quitclaim Deed (Corporation Grantor) is a fillable form built around that certificate, for one corporation releasing whatever right, title, and interest it holds in a described Hawaii parcel, without covenant or warranty of title.

The certificate that names the board

Section 502-41 of the Hawaii Revised Statutes sets out acknowledgment forms by signer type, and the third is written for a corporation or partnership. The appearer is sworn or affirmed, states the office held and the entity, states that the instrument was signed in behalf of the corporation by authority of its board of directors, and acknowledges it as the free act and deed of the corporation. The certificate on this form carries that substance, plus the items Hawaii's notary rules add: the judicial circuit, the document date, the page count, and a document description.

Where the power to sign comes from

Section 414-232 gives each officer the authority set out in the bylaws or, consistent with them, the authority the board prescribes. The Hawaii Business Corporation Act then splits property dispositions in two. Under Section 414-331 the board alone fixes the terms for a disposition in the usual and regular course, for an encumbrance, and for a transfer to a corporation all of whose shares the corporation owns, and shareholder approval is not required unless the articles of incorporation require it. Under Section 414-332 a disposition of all or substantially all of the corporation's property outside that course takes both a board proposal and the approval of the shareholders entitled to vote. Section 8 collects the officer's name and title, the source of the authority relied on, and any limitation stated in the articles or bylaws.

One corporation, one signature, one certificate

The form recites exactly one grantor, a corporation, with its name, its state or country of incorporation, and its mailing address. One officer signs for the corporation above a printed name line, and one acknowledgment certificate follows. An individual conveying in that person's own right, a trustee under a trust instrument, and a limited liability company drawing its signing power from a different chapter each carry a different recital and signature pattern, and this form is none of them. Configurations presenting the corporate pattern run through the record: a parent corporation moving a parcel to a wholly owned subsidiary, and a corporation releasing a remnant strip to an adjoining owner. The corporate name goes in exactly as registered, suffix included, since Section 414-51 requires it to carry corporation, incorporated, or limited, or the abbreviation corp., inc., or ltd.

What the corporation does not promise

The title assurance here is none at all. A Hawaii quitclaim deed, an instrument as often spelled quit claim deed, passes the interest its grantor holds at delivery and stops there. The conveyance section says so twice: no covenant or warranty of title, express or implied, and the grantee takes subject to the encumbrances, easements, restrictions, and liens already on the title. A further sentence keeps the human being out of it, so nothing hardens into the signing officer's personal promise.

An out-of-state corporation at a statewide desk

A corporation organized elsewhere holds and conveys Hawaii land as readily as a Hawaii one. Section 414-431 lists activities that fall short of transacting business in the State, and owning property, without more, is on that list; Section 414-432 adds that failing to obtain a certificate of authority does not impair the validity of a foreign corporation's acts. The deed's own entry is the state or country of incorporation, which the Bureau indexes beside the corporate name. Page one is drawn for the statewide desk in Honolulu: the top three and a half inches stay clear for the registrars, the return address occupies the inch below, and the tax map key, the recording system, and a Land Court certificate of title number sit with the parties.

I did not like the size of the Warranty Deed form which took 2 pages to print. It should be no larger than 8 1/2 by 14 inches. I did not like that I could not reformat it to be smaller, could not eliminate unused lines, could not delete the excessive 4 signature lines, could not copy or paste into text editor. Very unsatisfactory rating.
