Questions answered? Let's get started!

A "Memorandum of Purchase Agreement" commonly referred to as a "Memorandum of Agreement" (MOA) or "Memorandum of Understanding" (MOU) in the context of real estate, is used primarily as a means to provide public notice of an equitable interest in a real estate transaction without disclosing the full details of the purchase agreement. This document is particularly useful in transactions where the buyer and seller have agreed to terms but the final closing and transfer of the deed have not yet occurred. By recording this memorandum with the county recorder's office, the buyer establishes a public record of their interest in the property, which can protect against subsequent claims or liens by third parties.
Key Purposes of a Memorandum of Purchase Agreement:

1. Notice of Equitable Interest: The memorandum serves as notice to the public that the buyer has an equitable interest in the property due to the purchase agreement. This is important in protecting the buyer’s interest against claims by other parties who might otherwise be unaware of the agreement.

2. Protection During the Closing Process: Real estate transactions can involve a lengthy closing process, including financing approval, inspections, and other contingencies. Recording a memorandum helps safeguard the buyer's interest in the property during this period.

3. Confidentiality: A memorandum of purchase agreement allows the parties to keep the specific terms of their agreement, such as the purchase price and other sensitive details, private. Only the essential facts necessary to establish interest in the property are included in the memorandum

Impact on Title: While the memorandum itself does not transfer title, it does create a public record of the buyer’s interest, which can be important in the event of disputes or if the seller attempts to convey the property to another party.

Use with Other Real Estate Transactions: Although commonly associated with purchase agreements, memoranda can also be used with other types of real estate transactions that convey an interest in property, such as land contracts or options to purchase.

Important: Your property must be located in Dauphin County to use these forms. Documents should be recorded at the office below.

This site/service is amazing! The response is almost real-time and the fees are super reasonable. I will be using this again in the future should I need to file any other documents with the county and will also recommend it to others! Thank you!

mostly good; however, you need to update the annual exclusion gift amount from $14,000 to $15,000 (where it has ben for several years), and you need to make your Gift Deed final paragraph be gender neutral like "they" or "he or she" rather than just"he". We women lawyers and our women clients appreciate that.

Being new at this, the system was somewhat difficult to understand at first. It took a couple of tries before I got it. It seems to be somewhat slow as well. However, it's a wonderful idea to have documents recorded from the comfort of your home, especially in the times that we are in with COVID19. I definitely don't mind paying the fee which I thought was reasonable.

The forms were easy to use but there was a software issue that made it impossible to get the county name to appear on the form in the correct place. It made the deed look a little sloppy

I thought this form was great and easy to complete but the instructions were unclear as to whether the grantee- beneficiaries needed to sign and notarize their signatures as well. It did not appear to be the case but it would be helpful if the instructions spelled this out better.

The process was easy and reasonable. My only problem was that, when I filled out my form on the computer, the writing I did overlapped with the pre-written words on the form, so that I had to end up doing it by hand. I've used DEEDS before and have not had that problem.

Reply from Staff

Thank you for your feedback Cherene. We've emailed you for some followup regarding the issue you reported.

Great experience! Instructions are very clear and thorough. The completeness of the instructions really inspired confidence. Within minutes of uploading my document, I received a message that it had been prepared and submitted to the county for recording. Makes it so simple! Well worth it.
