One signature in the partnership name moves a Hawaii parcel out of a partnership, and Hawaii keeps the record of that signing power in the office that takes the deed. This Hawaii Quitclaim Deed (Partnership or Limited Partnership Grantor) is a fillable form for that conveyance: one partnership releases whatever right, title, and interest it holds in a described parcel, without covenant or warranty of title, over the signature of one partner, general partner, or authorized agent.

Real property gets its own authority rule

Section 425-113(a)(1) of the Hawaii Revised Statutes provides that partnership property held in the name of the partnership may be transferred by an instrument of transfer executed by a partner in the partnership name, subject to the effect of a partnership registration statement. Section 425-114 then splits authority in two: a grant of authority in a filed statement is conclusive in favor of a person who gives value without knowledge to the contrary, except for transfers of real property, and for land the grant is conclusive only when it appears in a certified copy of the filed statement recorded where transfers of that land are recorded. In Hawaii that office is the Bureau of Conveyances, and Section 5 of this form asks for the recording data of that certified copy.

Four entity forms, one signature line

The form recites exactly one grantor, a partnership, by name, entity type, jurisdiction of formation, and mailing address, and that entry covers the four Hawaii forms that convey over a partner's signature: a general partnership under Chapter 425, a limited partnership under Chapter 425E, a limited liability partnership, and a limited liability limited partnership. Section 425E-402 makes each general partner an agent of a limited partnership, while Section 425E-302 gives a limited partner no power as a limited partner to act for or bind it. The name is entered as registered, suffix included: Section 425E-108 requires a limited partnership name to carry limited partnership, L.P., or LP, and an LLLP name to carry LLLP or L.L.L.P. An individual conveying in that person's own right, a corporation acting through an officer, and a trustee under a trust instrument each recite authority differently, and this form is none of them. Two patterns from the record: a development partnership releasing a remnant strip after a subdivision closes, and a partnership winding up its last parcel.

What the partnership does not promise

The title assurance here is none at all. The conveyance section remises, releases, and forever quitclaims the partnership's interest and says in the same breath that no covenant or warranty of title is made, so mortgages, easements, water rights, and liens ride through untouched. A further clause keeps the signature from hardening into the signer's own promise: that person signs in the stated capacity and not personally.

An exemption list with two partnership entries

No Hawaii conveyance reaches the record book until its conveyance tax question is answered, and for a partnership the exemption list answers in two places. Section 247-3 exempts a conveyance from an entity that is party to a merger or consolidation under one of the listed business chapters, Chapters 425 and 425E among them, to the surviving or new entity, and separately exempts a conveyance from a dissolving limited partnership to its corporate general partner owning at least a ninety per cent interest. A sale for real money answers the other way, on Form P-64A at the rates of Section 247-2, a Department of Taxation form prepared separately and not included here.

By authority of its partners

Hawaii's acknowledgment statute prints a form for a corporation or partnership, and the partnership half asks the appearer to say that the instrument was signed in behalf of the partnership by authority of its partners. The certificate here closes with that substance, alongside the items Hawaii's notary rules add: judicial circuit, document date, page count, and a document description. Page one suits the statewide counter in Honolulu: the top three and a half inches stay clear for the registrars, and the inch beneath carries the return address.
