A Colorado corporation parts with land through an instrument the conveyancing code singles out. C.R.S. 38-30-144 reads the office of the person who signs, and this fillable quitclaim deed is built around that reading: one corporation gives up whatever it holds in the property described, Section 2 records the signing office, and the release runs on the statutory wording at C.R.S. 38-30-113(1)(d).

What the head officer rule does

The section is headed Conveyance by corporation, and its second subsection carries the weight. A corporate instrument affecting title to real property, executed by the president, vice-president, or other head officer, in the form required or permitted by law, is deemed executed with proper authority in the usual course of business, and it binds the corporation as against a bona fide purchaser, encumbrancer, or anyone else relying on it. That asks for an office, not for a board resolution stapled to the deed. Section 9 repeats the office beneath the signature, so both entries agree wherever an examiner opens the chain. A further blank takes a statement of authority recorded under C.R.S. 38-30-172, filed on its own and not part of this package.

How far the board goes alone

Under C.R.S. 7-112-101 a corporation may encumber its property, in or out of the usual and regular course of business, and may move property to a domestic corporation whose shares it wholly owns, with no shareholder approval unless the articles say otherwise. C.R.S. 7-112-102(1) marks the far boundary: parting with all, or substantially all, of the corporate property outside that ordinary course travels through a board proposal and a shareholder vote. Which side a conveyance sits on is settled inside the corporation, not on the deed.

A release, and no seal line

The conveyance is Colorado's statutory quitclaim: warranty words dropped, quitclaim put where convey would stand, yielding a covenant-free deed that carries no title picked up later. The grantee receives the corporation's interest exactly as it stood at delivery, entire, partial, or nothing, and the instrument prints that character in capital letters. No seal line appears, worth naming because older corporate deeds often carry one. C.R.S. 38-30-118 provides that a seal is not necessary on a conveyance, and C.R.S. 7-103-102(1)(b) treats the corporate seal as a power rather than a duty. C.R.S. 38-30-144(1) does mention an instrument under the common seal, offering it as one of two routes; the other is a conveyance made as articles 30 to 44 of title 38 authorize, and this corporate quitclaim deed takes that one.

One corporation, one signer, one certificate

The form recites exactly one grantor corporation and one person signing for it. The signature block carries that person's printed name, the date, and the office held, and one acknowledgment certificate follows, in the representative capacity short form of C.R.S. 24-21-516(1)(b), whose blank holds three things at once: who appeared, in what type of authority, and for what party the record was executed. A corporation deeding a parcel to its buyer at closing, a corporation releasing a narrow strip to a neighboring owner to settle a boundary discrepancy on the record, and a corporation moving a parcel to a wholly owned subsidiary all present the posture this deed recites. Colorado marital property law has nothing to do here, since homestead attaches to an owner and an owner's spouse, so the signer's marital status does no work on a deed the corporation gives. The form is not set up for two grantor entities, for a limited liability company, partnership, or trust as grantor, for an individual grantor, or for a signature given through an attorney-in-fact.

Taking the deed to the counter

Recording happens with the clerk and recorder of the county holding the land, and under C.R.S. 38-35-109 an unrecorded deed loses to a later party who records first without notice. Since July 1, 2025 the charge has been a flat statutory amount, quoted at forty-three dollars once surcharges are added, with the documentary fee separate. The entity name in Section 1 copies off the instrument by which the corporation took title, designator included, because C.R.S. 38-30-172(3)(a) reads that matching name as evidence of the corporation's existence.
