One signature releases a Hawaii limited liability company's interest in real property, and one subsection of the state's LLC statute is why. Section 428-301(c) of the Hawaii Revised Statutes names the instrument itself: unless the articles of organization limit their authority, a member of a member-managed company or a manager of a manager-managed company may sign and deliver any instrument transferring or affecting the company's interest in real property. This Hawaii Quitclaim Deed (LLC Grantor) is a fillable form built on that provision.

A subsection written for the deed itself

Section 428-301(c) locates the signing power according to how the company is managed, and it makes the instrument conclusive in favor of a person who gives value without knowledge that the signer lacked authority. It also names the one document that can take that power away, the articles of organization, which is what the deed asks about, and Section 428-101 makes a company manager-managed only where its articles say so.

One signer for the company, and a name that has to match

The form recites exactly one grantor, a limited liability company, with its name, organizing jurisdiction, and mailing address, and a separate section carries the authority entries: management structure, the name and title of the member or manager who signs, and any limitation stated in the articles of organization. One individual signs above a printed name line, in that capacity and not personally, under one acknowledgment certificate. An individual conveying in that person's own right, a corporation acting through officers, a trustee under a trust instrument, and two companies conveying together each carry a different recital and signature pattern, and this form is none of them.

An entity deed carries two names, doubling the surface Hawaii's intake rules police: no discrepancy may exist between a name in the body, beneath the signature, and in the notary's certificate. The company name goes in exactly as registered, suffix included, since Section 428-105 requires it to carry limited liability company, L.L.C., or LLC. Configurations presenting this pattern run through the record: a company distributing a parcel to its members as it winds up, affiliated companies under common ownership moving land between them, and a company releasing a fractional interest to a co-owner consolidating title.

A release, with nothing behind it

A quitclaim deed, also written as a quit claim deed, warrants none of what it hands over. This one remises, releases, and forever quitclaims the company's right, title, and interest, states that no covenant or warranty of title is made, and adds the limit an entity deed needs: the signer makes no personal covenant. Easements, mortgages, water and mineral rights, and other title matters ride through untouched.

An exemption list with no entry for a company

No Hawaii conveyance is recorded until its conveyance tax question is answered, and the answer is narrower for an entity than for a family. Section 247-3 exempts a nominal consideration document between husband and wife, reciprocal beneficiaries, or parent and child, and those are relationships between individuals; no paragraph on the list names a limited liability company or a transfer between a company and its members. What remains for a nominal internal transfer is the category that ignores who the parties are, a document in which the consideration is one hundred dollars or less. A sale reports the actual and full consideration on Form P-64A, and Section 247-4 puts payment on the party conveying. Both are Department of Taxation forms, prepared separately and not included here.

The certificate an entity signature needs

Hawaii's statutory acknowledgment forms predate the LLC. Section 502-41 prints one form for natural persons and another for corporations or partnerships, where the appearer swears to being an officer, partner, or agent and acknowledges the instrument as the entity's free act and deed; the limited liability company appears in neither. The certificate here follows the path that section opens by cross reference, carrying the substance Section 502-42 prescribes with that representative element, plus the items Hawaii's notary rules add: judicial circuit, document date, page count, and a description of the document.
